We provide our clients with services that include creating, forming, and maintaining both nonprofit corporations, professional limited liability companies, and professional service corporations. We also assist clients with planning, structuring and drafting essential legal documents and agreements. It is our priority to protect the personal liability of each entity’s owners and we aid clients with the creation and advancement of certificates of formation, articles of incorporation, bylaws, and operating agreements.

Clients benefit from a deeper understanding and guidance through the multitude of corporate structures that create compliance issues in the highly regulated health care industry. We understand your need to address the sophisticated compliance challenges that apply to your health care business.

Within our health care practice, one key area of focus for our team is compliance with the Washington State Corporate Practice of Medicine Doctrine. This Doctrine prohibits entities that are owned by unlicensed individuals from practicing medicine. Our attorneys have extensive experience within the complicated intersection of health care and corporate law. We assist clients with everything from the creation and drafting of health care employment and independent contractor arrangements to the constructing of arrangements between professional and management entities.
